These Terms of Service (“Terms”) govern your access to and use of the Tradebrary website and your purchase and use of any products offered by Tradebrary (“Tradebrary,” “we,” “us,” or “our”). By accessing our website or purchasing a product, you agree to these Terms. If you do not agree, do not use our website or purchase our products.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to purchase or use our products. By using our website or buying a product, you represent that you meet these requirements and that all information you provide is accurate.

2. Products

Tradebrary sells digital products, including trading indicators, strategies, scripts, code, templates, and related educational materials for platforms such as NinjaTrader, ThinkOrSwim, and Python. All products are digital goods delivered electronically. Product descriptions are provided in good faith; minor variations may occur, and platforms may change in ways that affect compatibility.

3. Orders, Payment & Delivery

Purchases are processed through our third-party sales platform, Whop, and/or its payment processors. By completing a purchase, you also agree to Whop’s applicable terms and policies. We do not store your full payment card details.

Products are delivered digitally, typically immediately or shortly after payment is confirmed, via download link, license key, and/or access granted through Whop. You are responsible for providing a valid email address and for ensuring you can receive and access your purchase.

4. Refunds

Because our products are digital goods delivered electronically and accessible immediately upon purchase, all sales are final and non-refundable, except where required by applicable law. Please review our Refund Policy in full before purchasing.

5. License to Products

Your use of any product is governed by our End User License Agreement. In summary, products are licensed to you for personal use only and may not be redistributed, resold, or shared. Ownership of all intellectual property remains with Tradebrary.

6. Acceptable Use

You agree not to: (a) use the website or any product for any unlawful purpose; (b) attempt to gain unauthorized access to our systems, accounts, or other users’ data; (c) interfere with or disrupt the website; (d) redistribute, resell, or pirate any product; or (e) misrepresent your identity or affiliation. We may suspend or terminate access for any violation.

7. Risk Disclaimer & No Financial Advice

Trading involves substantial risk of loss. Our products are tools for informational and educational purposes only and do not constitute investment, financial, legal, or tax advice. Tradebrary is not a registered investment adviser or broker-dealer. You are solely responsible for your trading decisions. 8. Disclaimer of Warranties

THE WEBSITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR PROFITABLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEBRARY AND ITS OWNER SHALL NOT BE LIABLE FOR ANY TRADING LOSSES OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE WEBSITE OR ANY PRODUCT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tradebrary and its owner from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the website or products, your trading activity, or your violation of these Terms.

11. Third-Party Services & Trademarks

Our website and products may reference or rely on third parties such as Whop, NinjaTrader, ThinkOrSwim (Charles Schwab/TD Ameritrade), and others. We are not affiliated with or endorsed by these parties, and all trademarks belong to their respective owners. We are not responsible for third-party services, and your use of them is subject to their own terms.

12. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest version. Changes are effective when posted. Your continued use of the website or products after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or our products shall be resolved exclusively in the state or federal courts located in Tennessee, and you consent to their personal jurisdiction.
